Terms of Service

Order Form

The key business terms of this Order Form are as follows. This Order Form incorporates and is governed by the Framework Terms below. If there is any inconsistency between this Order Form and the Framework Terms, this Order Form will control for this Agreement.

Cloud Service

A web-based referral workflow and pre-admission pipeline management platform for home health and hospice agencies, including referral intake, tracking, source-contact and visit logging, reporting, and related analytics features. The Cloud Service is designed to operate without protected health information (PHI). Customer agrees not to input PHI into the Cloud Service. Provider does not act as a Business Associate under HIPAA.

Order Date

Date of last signature on this Order Form. Access to the Cloud Service starts on this date.

Subscription Period

1 month. Length of Cloud Service access.

Cloud Service Fees

Fees per month:

The Plan and monthly fee are specified on the signed Order Form.

Modifying Section 4.1, fees are inclusive of taxes.

Payment Process

Automatic payment. Customer authorizes Provider to bill and charge Customer's payment method on file monthly for immediate payment or deduction without further approval.

Auto-renewal

Non-Renewal Notice Date: at least 1 day before the end of the current Subscription Period.

Parties

By signing the Order Form, each party agrees to enter into this Agreement.

Provider

Pathwise Systems, Inc - Kevin Watson, Founder & CEO. Legal notice address: kevin@censiva.ai.

Customer

The entity that signs the Order Form.

Framework Terms

The Framework Terms have two parts: (1) the Key Terms below (including any attached or referenced policies and documents) and (2) the Common Paper Cloud Service Standard Terms Version 2.1, posted at commonpaper.com/standards/cloud-service-agreement/2.1, which are incorporated by reference. If there is any inconsistency between the parts of the Framework Terms, the Key Terms will control over the Standard Terms. Capitalized words have the meanings or descriptions given in the Order Form or Standard Terms.

Key Terms

The key legal terms of this Agreement are as follows.

Effective Date

Date of last signature on the Cover Page. The date the Framework Terms start.

Governing Law

The laws of Delaware.

Chosen Courts

The courts (whether state, federal, or otherwise) located in Delaware.

General Cap Amount

1x the total fees paid or payable by Customer to Provider in the 12-month period immediately before the claim. Limitation of liability amount for most claims.

Changes to Standard Terms

Provider and Customer have not changed the Standard Terms except for the details in the Key Terms above.

By signing the Cover Page, each party agrees to enter into the Framework Terms.
